Terms of Service

These Terms of Service ("Terms") govern your use of the applications and services provided by Clockwork Apps ("we", "us", or "our"). By installing, accessing, or using any Clockwork Apps application from the Shopify App Store, the BigCommerce App Marketplace, the Webflow App Marketplace, or the Wix App Market, you ("you" or "Merchant") agree to be bound by these Terms.

1. The Service

Clockwork Apps provides a suite of business productivity applications for ecommerce platforms, including but not limited to bulk product editing, automated tagging, store backups, broken-link detection, redirect management, low-stock monitoring, order exporting, and product catalog readiness analysis. 2. Eligibility & Account

You must be the owner or an authorized administrator of the store/site you connect to our applications. By installing an application, you represent that you have the authority to grant the OAuth scopes the application requests and to accept these Terms on behalf of the merchant entity.

3. Subscriptions, Billing & Free Trials

Most Clockwork Apps applications are paid SaaS subscriptions billed monthly. Pricing for each application is published on its app-store listing and disclosed before checkout. Several applications offer a free trial; the trial duration and entry conditions are disclosed at install time.

Subscriptions renew automatically until cancelled. You may cancel at any time from your account on the originating platform, or by contacting clockwork.ecom@gmail.com. Cancellations take effect at the end of the current billing period; no pro-rated refunds are issued except where required by law.

5. Your Data & Our Responsibilities

You retain all rights to the data we process on your behalf. We act as a data processor for store/site data under the meaning of GDPR and equivalent regulations. Our processing of your data is governed by our Privacy Policy.

Several applications take pre-edit snapshots or scheduled backups of your data to enable revert and restore features (Bulkflow, BigCommerce BPE v2, Vault, BCVault). These snapshots are stored in encrypted AWS S3 storage in the US-West-2 region. Snapshots remain accessible only to the authorized merchant and are never read by any Clockwork Apps employee or shared with third parties.

6. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. We perform routine maintenance, deploy updates, and may experience platform-imposed downtime (Shopify / BigCommerce / Webflow / Wix API outages, AWS regional incidents, etc.). When an incident affects you we will surface it via the in-app banner and, when material, via email to your registered support contact.

7. Disclaimers

The applications are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Clockwork Apps does not warrant that the applications will meet every merchant's specific requirements, or that they will operate without error.

Bulk-edit applications can perform large numbers of changes in a single click. Always preview before running, and use the revert feature to roll back unintended changes. We are not responsible for changes you authorize and apply.

8. Limitation of Liability

To the maximum extent permitted by law, Clockwork Apps's total liability for any claim arising out of or relating to these Terms or the applications shall not exceed the amount you paid us in the twelve (12) months preceding the claim. In no event will Clockwork Apps be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Clockwork Apps and its officers, employees, and contractors from any claims, damages, or liabilities arising from (a) your use of the applications, (b) your violation of these Terms, (c) your violation of the underlying platform's terms, or (d) your violation of any third-party right.

10. Termination

You may stop using and uninstall any application at any time through your store/site's Apps section. We may suspend or terminate your access to any application if you breach these Terms or if your account is in arrears with the underlying platform's billing system. Upon termination, your access tokens are invalidated immediately and your data is purged according to the retention schedule disclosed in our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. We will notify merchants of material changes by updating the "Last updated" date at the top of this page. Continued use of our applications after changes constitutes acceptance of the updated Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the applications will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
